Terms of Service

These terms govern your use of Chleno. If you are looking specifically for the text messaging terms — message frequency, rates, and how to stop messages — they are in section 12, SMS Terms.

1. Who these terms are with

Chleno is provided by UForester LLC ("UForester", "we", "us"), a limited liability company organized under the laws of New York. Chleno is a product and trading name of UForester LLC. By creating an account or using Chleno you agree to these terms. If you are agreeing on behalf of an organization, you confirm you are authorized to bind it.

2. What Chleno is

Chleno is software that community organizations use to manage member and household records, run seasonal registration, collect membership fees, organize events, and communicate with their members and families. We provide the software; the organization decides how it is used and what it is used for.

4. Your content and your data

Everything an organization puts into Chleno — member records, documents, photographs, messages — remains the organization's. We claim no ownership of it. We use it only to provide and support the service, as described in our Privacy Policy.

You are responsible for having the right to provide the information you enter, including any consent needed from members, parents, or guardians, and for the accuracy of that information.

You agree not to use Chleno to:

Messaging in particular is subject to the rules of mobile carriers and industry bodies as well as the law. Misuse of messaging can result in suspension of messaging or of the account.

6. Payments and fees

Where an organization collects registration or membership fees through Chleno, it connects its own Stripe or Square account, and the money goes to the organization directly. UForester LLC does not take custody of those funds. Processing fees are set by the payment processor under the organization's own agreement with it.

Any fees payable to us for use of Chleno are as agreed with your organization in writing. Refunds of registration fees to families are a matter between the family and the organization.

7. Third-party services

Chleno relies on third-party providers including Supabase, Vercel, Stripe, Square, Twilio, Resend, and OneSignal. Your use of Chleno is also subject to their terms where they apply to you. We are not responsible for outages, changes, or acts of those providers, though we will work to keep the service running through them.

8. Availability and support

We aim to keep Chleno available and working, but we do not promise uninterrupted or error-free service. We may change, suspend, or discontinue features. Where a change materially reduces functionality an organization depends on, we will give reasonable notice.

9. Termination

An organization may stop using Chleno at any time and request an export of its data. We may suspend or terminate an account that breaches these terms, that creates a security or legal risk, or for which agreed fees are unpaid. On termination, we will make the organization's data available for a reasonable period before deleting it.

10. Disclaimers and limitation of liability

Chleno is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by law, UForester LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to these terms will not exceed the greater of the amounts you paid us for Chleno in the twelve months before the claim, or one hundred US dollars.

Nothing in these terms limits liability that cannot be limited by law.

11. Indemnity

You agree to indemnify and hold harmless UForester LLC from claims arising out of your content, your use of Chleno in breach of these terms, or your violation of any law or third-party right — including any claim arising from a message sent through Chleno to a person who did not consent to receive it.

You are only sent text messages if you have given consent to receive them. Consent is collected in one of these ways:

Consent to receive text messages is never a condition of registering, of membership, or of any purchase.

Example messages

Opting out

Replying STOP stops all text messages from the organization that sent them. It does not cancel your membership, and it does not stop in-app messages, push notifications, or email — those are managed separately in your Chleno profile. If you opt out and later want messages again, reply START or ask your organization to re-enable them.

Your responsibilities

You agree to give a mobile number you are authorized to use, and to tell your organization if that number changes or is reassigned, so that messages intended for you do not reach someone else.

For organizations sending messages

If you are an organization using Chleno to send text messages, you are responsible for obtaining and retaining proof of consent from every recipient, for honouring opt-outs, and for complying with the Telephone Consumer Protection Act, CTIA guidelines, and all other applicable law and carrier rules. Chleno processes STOP, START, and HELP keywords automatically on your behalf, and will not deliver messages to a number that has opted out.

13. Changes to these terms

We may update these terms. We will change the "last updated" date above, and for material changes we will give notice through the product or by email before they take effect. Continuing to use Chleno after a change takes effect means you accept the updated terms.

14. Governing law

These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. The courts located in Onondaga County, New York will have exclusive jurisdiction over any dispute, and you and we consent to their jurisdiction.
